The Arrowhead Electric Cooperative Board has recently taken upon itself to amend the “Articles of Incorporation and Cooperative By Laws” without the involvement of the cooperative’s owner members.
As an owner-member, you should have recently received a red-line copy of these revisions to be accepted by vote at this year’s annual meeting on Saturday, June 4th. Three board chair positions are also up for election, two running unopposed, with one to fill a position that has run the 12 year term limit.
Some inclusions of significant interest:
*Board term limits will increase from (4) three-year terms to (6) three-year terms.
*Board directors set their own monthly compensation payments and per diem expense reimbursements.
*Broadband customers will now be eligible to receive capital credit payments.
*Arrowhead, or its agents, may clear or remove by “any means necessary” trees, vegetation or obstructions deemed problematic whether ‘in or out’ of an easement.
*The Cooperative’s General Manager/Chief Executive Officer “shalt not be required to be a Member of the Cooperative.”
The changes to these documents are extensive. They can be approved by a quorum of at least 50 members, present in person or represented by mail ballot, at the annual meeting. By not voting, you will have accepted the decision of that quorum and are legally bound by the updated provisions. No input from members concerning any individual provisions of these changes/additions is offered.
This is an ‘all or nothing’ ballot. I suggest you vote a resounding ‘NO’ to this proposal.
