A members-only vote will be held on the proposed Arrowhead Cooperative Articles of Incorporation and Bylaws at the Cooperative’s annual 2022 meeting.
Board of Director elections will also be held at the annual meeting, which will take place on June 4, 2022.
One proposed change is to increase directors’ terms to allow someone to serve 18 consecutive years (six terms) if they win their elections after three years. Currently, directors can hold office for 12 years if they win four successive elections. Elections are held every three years.
According to the Cooperative’s monthly newsletter, rapid changes in the energy industry and increased demands on directors require board members “to have extensive knowledge and certifications.
“Increasing term limits provide sufficient time to let new directors learn their duties, complete in-depth training and education courses, and allow the cooperative to benefit from board member training.”
The Articles of Incorporation and Bylaws were first established in 1953 and haven’t been reviewed or updated in 20 years. Over that time, Arrowhead has added Broadband services to subscribers outside of the Cooperative’s defined electric service territory. One proposed addition to the bylaws adds a definition about who qualifies as a member (one who receives electric service within the territorial limits and non-members who receive broadband service outside of the Cooperative’s territory limits).
Other changes or By-law updates include defining requirements and responsibilities of membership, accounting for modern technology, removing outdated language and practices, capital credit allocations, and distributing to non-member patrons.
The board of directors and cooperative staff worked with an attorney and the Cooperative’s auditor for over one year to make the updates.
The annual meeting ballots and those mailed back to the cooperative will determine if all of the changes will be granted or if none will be implemented.
